Agent Marketplace Agreement

Last updated: April 2026. This agreement governs your access to and use of the FamilyShield Quotes agent lead marketplace.

1. Parties & Acceptance

This Agent Marketplace Agreement ("Agreement") is entered into between FamilyShield Quotes LLC ("Company," "we," "us") and the individual or entity registering as an agent on the platform ("Agent," "you").

By checking the acceptance box during registration, you confirm that you have read, understood, and agree to be bound by this Agreement, our Terms of Use, and our Privacy Policy. If you do not agree, do not register.

2. Agent Eligibility

To register and remain active on the platform, you must:

  • Hold a valid, current life insurance license in every state in which you purchase and contact leads;
  • Comply with all applicable federal and state insurance regulations, including TCPA, CAN-SPAM, and state-specific marketing laws;
  • Not be currently suspended, revoked, or under investigation by any state insurance department;
  • Maintain errors & omissions (E&O) insurance in an amount appropriate to your business volume.

We reserve the right to require proof of licensure at any time. Failure to provide proof within 48 hours of request may result in immediate account suspension.

3. Lead Purchase & Use

3.1 What You Receive

Upon purchasing a lead, you receive the consumer's contact information (name, email, phone, state, coverage preferences) for the sole purpose of providing a life insurance quote to that consumer.

3.2 Permitted Use

You may contact the lead consumer:

  • For the purpose of providing a life insurance quote, consistent with the consumer's stated consent;
  • Via phone, email, or SMS, in compliance with TCPA and any applicable state law;
  • A reasonable number of times (we recommend: 3 call attempts + 2 emails over 7 days, then cease contact if no response).

3.3 Prohibited Use

You may not:

  • Re-sell, transfer, share, or license lead data to any third party;
  • Use lead data for any purpose other than life insurance quoting;
  • Contact consumers whose contact information has been obtained through this platform for unrelated products or services;
  • Add consumers to general marketing lists without obtaining separate, independent consent;
  • Contact any consumer who has told you they are not interested, more than once after such notification;
  • Use automated dialing systems or pre-recorded messages without confirming TCPA compliance specific to that consumer's consent record.

4. Pricing & Payments

Lead prices are displayed at the time of purchase and are final. All purchases are processed via Stripe. By purchasing, you authorize the charge to your payment method on file.

We reserve the right to adjust pricing at any time. Price changes do not affect leads already purchased.

5. Lead Quality & Disputes

5.1 No Guarantee of Conversion

We do not guarantee that any lead will result in a policy sale. Lead quality scores are indicative only and are not a warranty of close rate or consumer intent.

5.2 Dispute Eligibility

You may file a dispute within 72 hours of purchase if the lead meets one or more of the following conditions:

  • Phone number is disconnected, invalid, or belongs to a different person;
  • Email address is invalid and all emails bounced;
  • The consumer clearly states they did not request an insurance quote;
  • The lead is a confirmed duplicate of a lead you purchased within the prior 30 days.

Disputes are reviewed within 5 business days. Approved disputes result in account credit, not cash refunds. Credit is applied to future purchases.

5.3 Dispute Abuse

Agents who file disputes on more than 15% of purchased leads over any 30-day period may be subject to account review and suspension. We reserve the right to deny disputes we determine to be filed in bad faith.

6. Agent Conduct

You agree to:

  • Represent yourself and your agency accurately;
  • Treat consumers respectfully and professionally at all times;
  • Honor consumer opt-out and do-not-contact requests immediately;
  • Not make misrepresentations about policy terms, pricing, or the nature of your relationship with FamilyShield Quotes (we are a lead generation service, not an insurance carrier or broker);
  • Not use the FamilyShield Quotes name, logo, or branding in your communications without prior written consent.

7. Account Suspension & Termination

We may suspend or terminate your account immediately, without refund of unused credits, if you:

  • Violate any term of this Agreement;
  • Lose or fail to maintain your insurance license;
  • Engage in fraudulent activity, including chargebacks without valid dispute basis;
  • Receive verified consumer complaints regarding your conduct;
  • Breach applicable TCPA, CAN-SPAM, or state insurance marketing law.

8. Data Security

You are responsible for maintaining the security of lead data you receive. You must:

  • Store lead data securely, with access limited to authorized personnel;
  • Not retain lead data beyond the period necessary for the purpose for which it was obtained;
  • Promptly notify us if you suspect any unauthorized access to lead data.

9. Limitation of Liability

To the fullest extent permitted by law, FamilyShield Quotes LLC's total liability to you for any claim arising out of or relating to this Agreement shall not exceed the amount you paid for the specific lead(s) giving rise to the claim in the 30 days preceding the claim.

We are not liable for indirect, incidental, consequential, or punitive damages of any kind, including lost profits or business opportunity.

10. Indemnification

You agree to indemnify and hold harmless FamilyShield Quotes LLC, its officers, employees, and agents from and against any claims, damages, penalties, or expenses (including legal fees) arising from: (a) your use of the platform; (b) your violation of this Agreement; (c) your violation of any consumer's rights; or (d) your violation of applicable law.

11. Modifications to This Agreement

We may update this Agreement from time to time. We will notify registered agents by email at least 7 days before material changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Agreement.

12. Governing Law

This Agreement is governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law provisions. Any disputes shall be resolved in the courts of Montgomery County, Pennsylvania.
